Manager, Corporate Governance and Board Secretariat

Position Overview
Reporting to the Vice President Communications, Environment and Indigenous Relations and Corporate Secretary, the Manager, Corporate Governance and Board Secretariat is the senior governance advisor and operational leader of the Corporate Secretariat. The role enables the Board and its committees to fulfill their stewardship, oversight and accountability responsibilities by maintaining an effective governance framework, safeguarding the integrity of Board decision-making and monitoring adherence to applicable legal and governance requirements. The Manager leads Board operations, governance disclosure, director development, Board effectiveness and continuous improvement, and serves as Deputy Corporate Secretary.
Key responsibilities include:
- Maintain the Airport Authority's integrated governance framework, annual governance work plan and obligations register. Provide objective advice on director duties, Board and Management authorities, independence, conflicts, ethical conduct and emerging governance issues. Monitor adherence to applicable legislation, articles, bylaws, mandates, policies and delegated authorities; identify and escalate gaps; coordinate corrective action; and act as Secretary in the Corporate Secretary's absence.
- Lead the annual Board and committee calendar and forward work plans each year. Develop agendas; guide items through Executive, committee and Board approval pathways; apply standards for balanced, decision-ready materials; and oversee notices, resolutions, minutes, actions and follow-up. Maintain protocols for urgent decisions and governance continuity, manage the Board budget and secure portal, and support complex or sensitive special governance projects.
- Support regular assessments of the Board, committees, chairs and individual directors and monitor resulting improvement plans. Maintain skills, experience and diversity matrices; independence and conflict declarations; director tenure, succession, attendance and education records; and future capability requirements. Translate Board renewal needs into clear guidance for Nominating Entities and lead comprehensive director orientation and ongoing education.
- Maintain the Board Manual, mandates, terms of reference, position descriptions, bylaws, policies and delegated authorities. Serve as custodian of official Board and governance records and uphold standards for minutes, retention, confidentiality, privacy, privilege and secure information handling. Lead governance content for annual and public reporting, benchmark disclosure against leading Canadian practices, and oversee nomination, election, reporting and relationship processes with the eight Nominating Entities and the Members.
- Advise and coach the Executive Team and employees on Board authorities, decision pathways, delegated authorities and Board-ready materials. Coordinate governance requirements with Legal, Finance, Risk, Internal Audit, People, Communications and other functions. Lead and develop Secretariat team; manage governance, compensation and other advisors; and maintain structured horizon scanning and benchmarking to recommend proportionate improvements to governance policies, practices, technology and reporting.
Key qualifications include:
- Bachelor's degree in governance, law, commerce, business administration, public administration, political science or another relevant discipline, or an equivalent combination of education and substantial related experience.
- Minimum seven years of progressively responsible corporate governance, corporate secretariat, legal governance or closely related experience, including significant work with a complex Board and its committees.
- Demonstrated experience advising Board and executive leaders, leading Board cycles, drafting minutes and resolutions, managing governance records and supporting Board effectiveness, renewal and disclosure.
- Advanced knowledge of Canadian corporate-governance practices for complex not-for-profit organizations and publicly traded companies.
- Advanced working knowledge of the Canada Not-for-profit Corporations Act and Regulations, director and officer duties, conflicts, corporate records, Board and Member meetings, bylaws and disclosure.
- Exceptional judgment, integrity, discretion, political acuity, analytical ability and written and oral communication skills.
- Demonstrated ability to interpret governance instruments, lead employees and advisors, and raise sensitive governance issues with independence and credibility.
Although not required, French language skills are an asset as we are committed to providing bilingual services to our visitors and passengers.

Salary Range : $105,680 to $158,520 per annum, based on 37.5-hour work week. This is individually tailored to reflect your unique experience, qualifications and internal equity.
